Terms of Service - Categorify

1. Introduction and Acceptance

1.1 Effective Date

These Terms of Service ("Terms") are effective as of December 20, 2025.

1.2 Agreement

These Terms constitute a legally binding agreement between Infinea Consulting Ltd, a company registered in Hungary with registered address at Andor utca 21/c fszt. 1., 1119 Budapest, Hungary, VAT ID: HU14930883 ("Infinea," "we," "us," or "our") and you ("User," "you," or "your"), whether personally or on behalf of an entity, concerning your access to and use of the Categorify service, including our web application, and any related services (collectively, the "Service").

1.3 Acceptance

By accessing, registering for, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

1.4 Authority to Accept

By accepting these Terms, you represent and warrant that:

  • You are at least 18 years of age
  • You are accessing and using the Service solely for business or professional purposes
  • If accepting on behalf of an entity, you have the legal authority to bind that entity to these Terms
  • You are not accessing the Service for personal, household, or consumer purposes

1.5 Additional Terms

Your use of the Service is also governed by our Privacy Policy, which is incorporated by reference into these Terms. Additional terms may apply to specific features or functionality of the Service, and such terms will be disclosed to you when you access those features.

2. Definitions

For the purposes of these Terms, the following definitions apply:

"Categorify" means the AI-powered product categorization platform that automatically assigns Shopify product categories to products in your store.

"Service" means the Categorify platform provided by Infinea.

"Website" means the Categorify website located at https://categorify.app, which provides documentation, help resources, pricing information, and support access for the Service.

"Account" means a unique account created for you to access and use the Service, identified by your Shopify store URL, and associated with your organization.

"Credit" means a unit of usage that represents one product categorization. Each time the Service categorizes a product using AI, one Credit is consumed from your monthly allocation or available balance.

"Categorization" means the AI-powered process by which the Service analyzes product descriptions and assigns appropriate Shopify product categories based on Shopify's category taxonomy.

"AI Instructions" means custom guidance (up to 2,048 characters) that you provide to influence how the Service selects categories during the categorization process. AI Instructions are applied during the category selection phase of the categorization pipeline.

"History" means the collection of records showing past categorization activities, including product descriptions, categories assigned, confidence levels, dates, and Credit costs for each categorization.

"Top-up Credits" means additional Credits that can be purchased beyond your monthly subscription allocation to categorize more products.

"Usage" means the total number of Credits consumed within a monthly billing period.

"Subscription" means the paid plan selected by you that determines your access level, available features, monthly Credit allocation.

"User" or "you" means the individual or legal entity that has registered for an Account and accepted these Terms, including any employees or agents authorized to access the Service on behalf of such entity.

3. Account Registration and Requirements

3.1 Business Use Only

The Service is designed exclusively for business and professional use. By installing Categorify, you represent and warrant that your Shopify store is operated for business purposes and not for personal, household, or consumer use. You must be at least 18 years of age, consistent with Shopify's requirements for store owners.

3.2 Registration Information

When you install Categorify from the Shopify App Store, your Account is created automatically through Shopify's OAuth installation process. This process provides us with:

  • Your Shopify store URL, which serves as your unique Account identifier
  • Your store's primary email address

You are responsible for maintaining accurate, complete, and current information associated with your Shopify store. When you upgrade after your trial period expires, you will need to provide additional billing information to continue using the Service.

3.3 Account Security

You are responsible for:

  • Maintaining the security of your Shopify store
  • All activities that occur under your Account
  • Immediately notifying us of any unauthorized use of your Account
  • Ensuring that your Shopify store information remains accurate and up-to-date

We are not liable for any loss or damage arising from your failure to maintain the security of your Account.

3.4 Account Restrictions

You agree that you will not:

  • Share your Account credentials with any third party
  • Use another User's Account without authorization
  • Sell, transfer, or assign your Account to another party
  • Create multiple Accounts to circumvent Service limitations or pricing
  • Register using false, misleading, or inaccurate information
  • Create an Account if you are not representing a legitimate business entity
  • Register for an Account if we have previously terminated your access for Terms violations

3.5 Account Verification

Since your Account is created through Shopify's platform, we rely primarily on Shopify's verification processes. However, we reserve the right to:

  • Request additional verification if we detect unusual activity or potential Terms violations
  • Verify your business status when you upgrade to paid plans or request higher usage limits
  • Confirm your store's legitimacy if flagged by our automated fraud detection systems

Failure to provide requested verification within 7 days may result in Service limitations or Account suspension.

3.6 Account Suspension and Termination

We may suspend or terminate your Account immediately if:

  • You breach any provision of these Terms
  • We suspect fraudulent, abusive, or illegal activity
  • You fail to provide accurate registration information or requested verification
  • You fail to pay any fees when due
  • Required by law or court order

4. Service Description

4.1 Dashboard and Usage Monitoring

The Service provides a comprehensive dashboard interface where you can:

  • View your current monthly Credit usage and remaining Credits in your allocation
  • Access the History page to view categorization details
  • Purchase Top-up Credits to categorize additional products beyond your monthly allocation
  • Manage your subscription plan and upgrade or downgrade as needed
  • Refresh usage data to obtain the latest metrics

4.2 Categorization Capabilities

The Service is integrated directly into the Shopify admin interface and enables you to categorize products through the following methods:

One-Click Categorization

  • Categorize individual products from the product detail page
  • Categorize multiple selected products from the Products index page
  • Categorize all products in a collection from the collection page

Automatic Categorization

  • Automatically categorize new products when they are created in your store
  • Automatically categorize existing products when they are modified
  • Configure automation settings to enable or disable automatic categorization

Integrated Shopify Admin Access

  • Access categorization features directly from Shopify's Products page
  • One-click access to the Categorify dashboard from Shopify admin
  • Seamless integration with your existing product management workflow

4.3 History Page

The History page provides a comprehensive record of all categorization activities:

  • Product descriptions that were categorized
  • Categories assigned to each product
  • Categorization date and time
  • Credit cost for each categorization
  • Confidence levels for category assignments
  • Categorization status (success or failure)

History page features include:

  • Filtering categorization history by date, status, or other criteria
  • Viewing detailed information for each categorization

4.4 Settings

The Settings page allows you to configure various aspects of the Service:

Automation Settings

  • Enable or disable automatic categorization for new and modified products
  • Configure when automatic categorization should occur

Categorization Settings

  • Set custom AI Instructions (up to 2,048 characters) to guide category selection
  • Configure confidence thresholds for categorization
  • Specify whether to use best-guess categories when the AI is uncertain
  • Choose whether to return only leaf categories or include parent categories

Communication Settings

  • Configure notification email address for alerts
  • Subscribe to product update notifications
  • Manage email preferences for service announcements

Subscription Management

  • View current plan details and limitations
  • Upgrade or modify your Subscription tier
  • Purchase Top-up Credits

4.5 Service Limitations

While the Service provides robust categorization capabilities, certain limitations apply:

  • Categorization History is retained for 45 days, after which older records are automatically deleted
  • AI Instructions are limited to 2,048 characters maximum
  • Categorization requests are rate-limited by our AI service provider; when rate limits are reached, requests are processed in a throttled manner but will complete
  • No limits on bulk categorization batch sizes
  • Language support covers 50+ languages, though accuracy may vary depending on language characteristics and the volume of training data available for that language
  • Monthly Credit allocations are determined by your Subscription tier

Current limitations and Credit allocations for each Subscription tier are displayed on the Website and in your Account dashboard.

5. Acceptable Use Policy

5.1 Permitted Uses

The Service is provided exclusively for legitimate business categorization purposes. Permitted uses include:

  • Categorizing products in your Shopify store using AI-powered analysis
  • Automatically categorizing new and modified products
  • Bulk categorizing existing product catalogs
  • Using custom AI Instructions to guide categorization based on your business needs
  • Managing product categories to improve store organization and customer experience

5.2 Prohibited Uses

You agree not to use the Service for any of the following purposes:

Illegal or Harmful Activities

  • Any activity that violates applicable laws or regulations
  • Violating intellectual property rights of others
  • Using the Service to categorize products for illegal goods or services
  • Attempting to circumvent Shopify's terms of service or policies through categorization manipulation

System Abuse

  • Attempting to bypass or circumvent usage limits or security measures
  • Attempting to reverse-engineer, extract, or replicate the AI categorization model or algorithms
  • Attempting to gain unauthorized access to our systems or other Users' Accounts
  • Creating automated systems designed to abuse or waste AI inference resources
  • Attempting to use the Service to categorize non-Shopify products or products from stores you don't own
  • Deliberately attempting to circumvent Credit limits through multiple accounts or other means

Commercial Exploitation

  • Reselling, sublicensing, or redistributing the Service without explicit written authorization
  • Creating a competing AI categorization service using our infrastructure or AI model
  • Offering product categorization as a service to third parties without written authorization
  • Selling or transferring Credits to other users or Accounts
  • Using the Service to categorize products for stores you don't own without authorization

Misuse of Resources

  • Using the Service for purposes other than categorizing Shopify products in your store
  • Deliberately generating excessive categorization requests to waste AI resources
  • Repeatedly categorizing the same products unnecessarily to consume Credits
  • Any usage pattern designed to abuse the AI service or generate unnecessary costs

5.3 Rate Limits and Fair Use

To ensure Service availability for all Users, we implement:

  • Monthly Credit allocations based on your Subscription tier
  • Rate limiting on categorization requests handled transparently through throttled processing
  • Automatic processing of queued requests when rate limits are encountered
  • Usage monitoring to detect abusive patterns

Current Credit allocations and limitations for each Subscription tier are displayed on the Website and in your Account dashboard.

5.4 Content Standards

When using the Service to categorize products, you must ensure that:

  • Product data relates to legitimate business operations
  • You respect the privacy and security of any customer data in product descriptions
  • Personal data within product descriptions is handled in compliance with applicable privacy laws
  • You do not include sensitive personal information in product descriptions that will be processed by the AI
  • Does not violate Shopify's API terms of use

5.5 Monitoring and Enforcement

We reserve the right to:

  • Monitor usage patterns to detect violations
  • Investigate suspected violations of this policy
  • Suspend or terminate Accounts that violate these terms
  • Report illegal activities to appropriate authorities
  • Seek legal remedies for violations that cause harm to our Service or other Users
  • Review categorization history and usage patterns when investigating potential violations
  • Suspend categorization capabilities for Accounts that violate this policy

5.6 Reporting Violations

If you become aware of any violation of this Acceptable Use Policy, please report it immediately to support@categorify.app.

6. User Content and Intellectual Property

6.1 Your Content Ownership

You retain all rights, title, and interest in and to any User Content that you submit to the Service, including your product descriptions, custom AI Instructions, and any other data you provide. We do not claim ownership of your product data, categorization preferences, or any other content you submit.

6.2 License Grant to Infinea

By submitting User Content to the Service, you grant us a limited, non-exclusive, worldwide, royalty-free license to:

  • Process your product descriptions through our AI categorization service
  • Store your content temporarily as necessary to provide the Service
  • Display your content back to you through the Service interfaces
  • Apply your AI Instructions to the categorization process
  • Assign Shopify product categories based on AI analysis
  • Create anonymized and aggregated insights that do not identify you or your store data

This license automatically terminates when you delete your content or terminate your Account, except for anonymized data that cannot be associated with you.

6.3 AI Service Limitations and Warranties

You acknowledge that:

  • The Service uses AI technology and categorization results may vary in accuracy
  • We make no warranty that categories assigned will be perfect or suitable for all business needs
  • Category assignments are AI-generated suggestions and should be reviewed as appropriate for your business
  • You are responsible for verifying that assigned categories are appropriate for your products
  • AI Instructions influence but do not guarantee specific categorization outcomes
  • Language support and accuracy may vary depending on the language and product description quality
  • The Service is non-refundable because AI inference costs are incurred immediately upon categorization
  • You are solely responsible for ensuring categorized products comply with applicable laws and regulations

6.4 Infinea's Intellectual Property

The Service, including all software, algorithms, designs, features, and documentation, is the exclusive property of Infinea and is protected by intellectual property laws. You acknowledge that we own all rights in:

  • The Categorify platform and AI categorization technology
  • Our user interfaces and design
  • Our AI categorization algorithms, models, and processing pipeline
  • Our category selection logic and AI Instructions processing system
  • Our integration with Shopify's category taxonomy
  • Any improvements or derivatives of our technology
  • Our trademarks, logos, and brand elements

6.5 Restrictions on Use

You may not:

  • Copy, modify, or create derivative works of the Service
  • Decompile, reverse engineer, or attempt to extract source code
  • Attempt to reverse-engineer, extract, replicate, or train competing AI models using our Service
  • Remove or alter any proprietary notices or labels
  • Use our trademarks without express written permission
  • Claim any ownership rights in the Service, its AI technology, or the categorization algorithms
  • Extract or attempt to extract the underlying AI model or training data

6.6 Feedback and Suggestions

If you provide feedback, suggestions, or recommendations regarding the Service ("Feedback"), you grant us an unrestricted, perpetual, irrevocable, royalty-free license to use such Feedback for any purpose without compensation to you. We may incorporate Feedback into the Service without obligation or attribution.

6.7 Third-Party Content

The Service uses Shopify's product category taxonomy and integrates with Shopify's API. Shopify's product categories and API remain the property of Shopify, and your use is subject to Shopify's applicable terms. We are not responsible for changes to Shopify's category taxonomy or API that may affect categorization results.

7. Subscription Plans and Billing

7.1 Free Trial

Upon installation of Categorify, you automatically begin a free trial period with access to the Service features. During this trial:

  • You receive 100 Credits to test the categorization features
  • You have access to all core features including one-click and automatic categorization
  • The trial period lasts for 7 days from the date of installation
  • You may upgrade to a paid plan at any time
  • The trial Credit allowance may be modified at our discretion

We monitor trial usage to prevent fraudulent activity and abuse. Trial Credits are provided once per store and do not reset upon reinstallation. If you uninstall Categorify during your trial period and later reinstall it, your trial will not restart—you will return to the expired trial state if the 7-day period has elapsed or your Credits have been consumed.

7.2 Trial Expiration

When your 7-day trial period expires or when you consume all 100 trial Credits (whichever comes first):

  • Categorization features will be disabled until you subscribe to a paid plan
  • You will retain access to your Account dashboard and Settings
  • Your categorization History will remain accessible for the retention period
  • You will receive email notifications before and when your trial expires
  • You may subscribe to a paid plan at any time to restore categorization capabilities

7.3 Paid Subscription Plans

We offer the following monthly subscription plans:

Starter Plan - $29/month

  • 5,000 Credits per month
  • Support for all languages
  • Automatic categorization for new and updated products
  • One-click categorization in Shopify admin
  • 45-day History retention
  • Standard support

Growth Plan - $49/month

  • 11,000 Credits per month
  • All Starter plan features
  • Custom AI Instructions (up to 2,048 characters)
  • Advanced categorization settings

Scale Plan - $99/month

  • 23,000 Credits per month
  • All Growth plan features
  • Priority support with faster response times

Pro Plan - $199/month

  • 49,000 Credits per month
  • All Scale plan features
  • Priority processing for categorization requests
  • Onboarding assistance and setup review

Current pricing and Credit allocations are displayed on the Website and in your Account dashboard. We reserve the right to introduce new plans or modify existing plans with advance notice to existing subscribers.

7.3.1 Top-up Credits

If you exhaust your monthly Credit allocation before the end of your billing period, you may purchase additional Top-up Credits:

  • Top-up Credits can be purchased manually through your Account dashboard, or automatically if you enable automated top-up functionality (see Section 7.3.2)
  • Top-up Credits are available in various denominations as displayed on the Website
  • Top-up Credits do not expire and carry over month to month until used
  • Top-up Credits are consumed after your monthly subscription Credits are depleted
  • Top-up Credits are non-refundable once purchased
  • Unused Top-up Credits remain in your Account even if you downgrade or cancel your subscription

When you have both subscription Credits and Top-up Credits, the Service will consume subscription Credits first, then Top-up Credits once subscription Credits are depleted.

7.3.2 Spending Limits and Automated Top-ups

To enable automated top-up functionality, we set a spending limit on your Account equal to three times your monthly subscription fee. This spending limit:

  • Allows automatic Top-up Credit purchases when your monthly allocation is depleted
  • Prevents unexpected charges by capping automated purchases at the spending limit
  • Resets at the beginning of each billing period
  • Can be adjusted through your Account settings or by contacting support

When automated top-up is enabled and you exhaust your monthly Credits, the Service will automatically purchase Top-up Credits as needed, up to your spending limit. You will receive notifications when automated purchases occur and when you approach your spending limit.

7.4 Payment Processing

All payments and billing are handled directly by Shopify:

  • Charges are processed using the payment method associated with your Shopify store
  • Billing appears on your regular Shopify invoice
  • Payment disputes or issues should be addressed through Shopify's billing support

By upgrading to a paid plan, you authorize Shopify to charge your store for our Categorify subscription.

7.5 Billing Cycle and Auto-Renewal

  • Paid plans are billed on a monthly basis

  • The billing period runs from your subscription date and renews monthly on the same date

  • Your subscription automatically renews at the end of each billing period

  • Monthly Credit allocations reset at the beginning of each billing period

  • Unused monthly Credits do not roll over to the next billing period (Top-up Credits do roll over)

  • To stop automatic renewal, you must either:

  • Cancel your subscription through your Account settings, or

  • Uninstall Categorify from your Shopify store

7.6 Plan Management

Upgrades: You can upgrade between paid plan tiers at any time. Upgrades take effect immediately, and you will receive a prorated Credit allocation for the remainder of your current billing period.

Downgrades: You can downgrade to a lower tier at any time. When you downgrade:

  • The change takes effect at the end of your current billing period
  • You retain access to your current plan features until the end of the billing period
  • Unused Credits from your current plan do not carry over (except Top-up Credits)
  • You will have access to the lower tier's Credit allocation in the next billing period

Plan Changes by Infinea: We may introduce new plans, modify existing plans, or discontinue plans at any time. Changes affect:

  • New subscriptions immediately
  • Existing subscriptions at the next renewal period
  • You will receive advance notice of any changes affecting your subscription

7.7 Cancellation Policy

You may cancel your paid subscription at any time by:

  • Canceling your subscription through your Account settings
  • Uninstalling Categorify from your Shopify store

Cancellation terms:

  • Cancellation takes effect immediately
  • No refunds are provided for partial billing periods or unused Credits
  • You may resubscribe to a paid plan at any time to restore categorization access

7.8 Price Changes

We reserve the right to modify pricing with 30 days' advance notice. Price changes will apply to your next billing period. If you disagree with new pricing, you may cancel your subscription before the changes take effect.

7.9 Refund Policy

Due to the nature of our Service and the immediate costs we incur for AI inference:

  • All subscriptions and Credit purchases are non-refundable
  • Credits are consumed immediately when categorization is performed, and AI processing costs are incurred at that moment
  • We cannot refund Credits that have been consumed
  • We do not offer refunds for unused Credits or partial billing periods
  • This no-refund policy applies to both subscription fees and Top-up Credit purchases

If you experience technical issues preventing you from using the Service, please contact support at support@categorify.app and we will work to resolve the issue.

7.10 Taxes

All tax calculations and collections are handled by Shopify as part of their payment processing. Tax amounts are determined based on your store's location and applicable regulations. For tax-related questions or documentation, please contact Shopify's billing support.

8. Data Processing and Privacy

8.1 Privacy Policy

Our collection, use, and processing of personal data is governed by our Privacy Policy, which is incorporated by reference into these Terms. By using the Service, you acknowledge that you have read and understood our Privacy Policy, available at https://categorify.app/privacy-policy.

8.2 Data Processing Relationship

When you submit User Content through the Service:

  • You act as the data controller for any personal data within your User Content
  • We act as a data processor, processing data solely on your instructions
  • You are responsible for ensuring you have appropriate legal basis to submit any personal data

8.3 Your Data Protection Obligations

You represent and warrant that:

  • You have obtained all necessary consents and rights to submit User Content to the Service
  • Your use of the Service complies with applicable data protection laws, including GDPR
  • You will handle sensitive personal data and special categories of data in compliance with applicable laws
  • You will not include sensitive personal data in product descriptions that will be processed by the AI
  • You will respond promptly to any data subject requests related to data you process

8.4 Data Processing Agreement

For customers requiring a formal Data Processing Agreement (DPA) under GDPR Article 28, please contact us at support@categorify.app.

Our standard DPA incorporates:

  • Appropriate technical and organizational measures
  • Obligations regarding sub-processors
  • Assistance with data subject rights
  • Data deletion and return provisions

8.5 International Data Transfers

As detailed in our Privacy Policy, your data may be processed outside the European Economic Area. We ensure appropriate safeguards are in place for all international transfers, including Standard Contractual Clauses where required.

8.6 Security Measures

We implement comprehensive security measures as described in our Privacy Policy. These include encryption, access controls, and regular security assessments to protect your data.

8.7 Data Retention

  • Categorization History, AI Instructions, and User Content are retained for 45 days as specified in our Privacy Policy
  • You may request deletion of your data at any time through your Account settings
  • Some data may be retained as required by law or for legitimate business purposes

8.8 Privacy Rights

You maintain all rights to your data as outlined in our Privacy Policy, including rights of access, rectification, erasure, and portability. Exercise these rights by contacting support@categorify.app.

9. Service Availability and Support

9.1 Service Availability

We strive to maintain high availability of the Service but do not guarantee any specific uptime percentage or service level agreement (SLA). The Service is provided on a "best effort" basis, which means:

  • We aim for continuous availability but cannot guarantee uninterrupted access
  • Service performance may vary based on factors including system load and complexity of requests
  • Availability metrics, when displayed, are for informational purposes only and do not constitute a warranty

9.2 Maintenance Windows

  • We may perform scheduled maintenance that could result in Service unavailability
  • Planned maintenance will be announced via email and dashboard notifications with reasonable advance notice
  • Emergency maintenance may be performed without prior notice to address critical issues
  • We will endeavor to schedule maintenance during periods of low usage when possible

9.3 Support Channels

Support is available through:

9.4 Support Response Times

We aim to respond to support requests within the following timeframes:

  • Initial acknowledgment: Within 48 business hours
  • Substantive response: Based on issue priority and subscription plan
  • Business hours: Monday to Friday, 9:00 AM - 5:00 PM CET/CEST (excluding Hungarian public holidays)

Response times are targets only and not guaranteed service levels.

9.5 Support Scope

Our support includes assistance with:

  • Account and billing issues
  • Technical problems accessing the Service
  • Categorization accuracy questions
  • General usage guidance
  • Bug reports and feature requests

Support does not include:

  • Custom development or integration services
  • Training beyond standard documentation
  • Troubleshooting of your internal systems
  • Legal or tax advice

9.6 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, including:

  • Adding or removing features
  • Modifying user interfaces
  • Adjusting system requirements
  • Updating AI models or categorization algorithms

Material changes will be communicated with reasonable advance notice, except where changes are required for security, legal, or emergency reasons.

9.7 Service Interruptions

In the event of Service interruptions:

  • We will work diligently to restore Service as quickly as possible
  • Status updates will be provided through appropriate channels
  • We are not liable for any losses resulting from Service unavailability
  • Credits or refunds for downtime are not provided unless explicitly offered at our discretion

10. Disclaimers and Limitations of Liability

10.1 "As Is" Service Provision

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 No Warranty on Accuracy

We specifically do not warrant that:

  • The Service will operate without errors or interruptions
  • The Service will meet your specific requirements
  • The Service will be uninterrupted, timely, secure, or error-free
  • Any errors in the Service will be corrected
  • AI categorization will always produce accurate or suitable results for your business needs
  • Categories assigned by the AI will be perfect or require no review

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

Liability Cap: Our total liability to you for all claims arising out of or relating to these Terms or the Service, regardless of the form of action, will not exceed the amount paid by you to us in the twelve (12) months preceding the claim.

Excluded Damages: In no event will we be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, or business
  • Loss of data or data use
  • Business interruption
  • Cost of substitute services
  • Any damages resulting from incorrect categorization or AI errors
  • Any damages resulting from reliance on AI-generated category assignments

This limitation applies even if we have been advised of the possibility of such damages.

10.4 Exceptions to Limitations

Nothing in these Terms excludes or limits our liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be excluded or limited under applicable law

10.5 Your Acknowledgments

You acknowledge and agree that:

  • You assume full responsibility for your use of the Service
  • Your use of the Service is at your sole risk
  • You are solely responsible for reviewing and verifying AI-generated category assignments
  • We are not responsible for business outcomes resulting from category assignments
  • The limitations reflect a reasonable allocation of risk between the parties

10.6 Force Majeure

We will not be liable for any failure or delay in performing our obligations under these Terms if such failure or delay results from circumstances beyond our reasonable control, including but not limited to:

  • Natural disasters
  • War, terrorism, or civil unrest
  • Government actions or sanctions
  • Internet service disruptions
  • Power outages
  • Pandemic or epidemic
  • Labor disputes

10.7 Third-Party Services

We are not responsible for any third-party services, including:

  • Payment processing by Shopify
  • Shopify's product category taxonomy
  • Changes to Shopify's API or category system
  • Internet connectivity or infrastructure

Your use of third-party services is governed by their respective terms and policies.

11. Indemnification

11.1 Your Indemnification Obligations

You agree to defend, indemnify, and hold harmless Infinea Consulting Ltd, its affiliates, and their respective officers, directors, employees, agents, licensors, and service providers (collectively, "Infinea Parties") from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms
  • Your use or misuse of the Service
  • Your User Content, including any claim that it infringes or violates any third-party rights
  • Your violation of applicable laws or regulations
  • Any unauthorized access to or use of the Service through your Account
  • Your negligence or willful misconduct
  • Any products you categorize and sell using categories assigned by the Service
  • Your breach of any representations or warranties made in these Terms

11.2 Indemnification Process

If we seek indemnification from you:

  • We will promptly notify you of any claim for which we seek indemnification
  • You will have the right to assume control of the defense with counsel of your choice
  • We will reasonably cooperate with your defense at your expense
  • You may not settle any claim that imposes liability on us without our prior written consent
  • We may participate in the defense with our own counsel at our expense

11.3 Exclusions from Indemnification

Your indemnification obligations do not apply to claims arising solely from:

  • Our gross negligence or willful misconduct
  • Our breach of these Terms
  • Claims that the Service itself, when used within the scope of these Terms, infringes third-party intellectual property rights

11.4 Survival

This indemnification provision will survive any termination or expiration of these Terms and your use of the Service.

12. Termination

12.1 Termination Options

You may end your relationship with the Service in two ways:

Cancel Subscription

  • Cancel your subscription through your Account settings
  • Categorization features are disabled immediately
  • Your categorization History remains accessible for the retention period
  • You can resubscribe at any time

Account Deletion

  • Delete your Account through your Account settings or by contacting support@categorify.app
  • Any paid plan is immediately terminated without refund
  • Your Account and all associated data are permanently deleted
  • This action is irreversible and data cannot be recovered

12.2 Termination by Infinea

We may suspend or terminate your Account and access to the Service immediately, without prior notice or liability, if:

  • You breach any material provision of these Terms
  • You fail to pay any fees when due
  • We reasonably suspect fraudulent, illegal, or unauthorized activity
  • You violate our Acceptable Use Policy
  • Required by law, court order, or governmental request
  • We discontinue the Service (with 30 days' notice unless circumstances require immediate action)

When we terminate your Account, we may either:

  • Suspend Service access while preserving your Account data, or
  • Delete your Account completely, with the same effects as if you had deleted it yourself

12.3 Effect of Subscription Cancellation

When you cancel your subscription:

  • Categorization features are disabled immediately
  • Your categorization History remains accessible for 45 days
  • You retain access to your Account dashboard and Settings
  • Top-up Credits remain in your Account if you resubscribe
  • No refunds are provided for unused time in your billing period

12.4 Effect of Account Deletion

When your Account is deleted (whether initiated by you or by us):

  • All access terminates immediately
  • Your data is permanently deleted with the following exceptions:

Deleted Immediately:

  • Account credentials and authentication data
  • AI Instructions and categorization settings
  • Categorization History
  • Usage data and Credit consumption history
  • Communication preferences

Retained as Required:

  • Legal correspondence if related to disputes or investigations
  • Records of Terms violations when necessary to prevent repeat violations
  • Data subject to legal holds or government requests
  • Deletion is permanent and cannot be reversed

12.5 Survival of Terms

The following sections will survive termination of these Terms:

  • Section 6 (User Content and Intellectual Property)
  • Section 8 (Data Processing and Privacy)
  • Section 10 (Disclaimers and Limitations of Liability)
  • Section 11 (Indemnification)
  • Section 13 (Governing Law and Disputes)
  • Section 14 (General Provisions)
  • Any other provisions that by their nature should survive

12.6 Reactivation

After Subscription Cancellation:

  • You may resubscribe to a paid plan at any time
  • Your Account settings remain intact
  • Categorization History is retained for 45 days
  • Any remaining Top-up Credits are still available
  • If you cancel and immediately resubscribe, you will start a new billing period

After Account Deletion:

  • You must create a new Account
  • Previous data cannot be recovered
  • If we deleted your Account for Terms violations, you may not create a new Account without our written permission

13. Governing Law and Disputes

13.1 Governing Law

These Terms and any dispute arising out of or related to them, the Service, or your relationship with Infinea shall be governed by and construed in accordance with the laws of Hungary, without regard to its conflict of law provisions.

13.2 Jurisdiction

You agree that any judicial proceeding to resolve disputes relating to these Terms or the Service will be brought in the competent courts of Budapest, Hungary, and you hereby consent to the exclusive jurisdiction and venue of such courts.

13.3 Attempt at Amicable Resolution

Before initiating formal legal proceedings, both parties agree to attempt to resolve any dispute, claim, or controversy through good faith negotiations. The party raising the dispute must provide written notice to the other party describing the nature and basis of the claim and the requested relief. The parties shall then attempt to resolve the dispute through direct discussion for a period of at least 30 days.

13.4 Language of Proceedings

All legal proceedings, communications, and documentation related to any dispute shall be conducted in Hungarian or English, at the discretion of the initiating party. If translation is required, the party requiring translation shall bear the associated costs.

13.5 Waiver of Jury Trial

TO THE EXTENT PERMITTED BY LAW, EACH PARTY HEREBY WAIVES ANY RIGHT TO JURY TRIAL IN CONNECTION WITH ANY ACTION OR LITIGATION ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE.

13.6 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You may not bring claims against us in a purported class or representative proceeding.

13.7 Limitation Period

Any cause of action or claim you may have arising out of or relating to these Terms or the Service must be commenced within one (1) year after the cause of action accrues; otherwise, such cause of action or claim is permanently barred.

13.8 Injunctive Relief

Notwithstanding the above provisions, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights, confidential information, or these Terms.

13.9 Costs and Fees

Unless otherwise required by law, each party shall bear its own costs and attorneys' fees in any dispute. However, if either party prevails on a statutory claim that affords the prevailing party attorneys' fees, or if there is a judicial determination that a party brought a claim or defense without substantial justification, the court may award costs and fees to the prevailing party.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Infinea regarding the Service and supersede all prior and contemporaneous agreements, proposals, representations, and understandings concerning the subject matter.

14.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the provision shall be severed from these Terms. The validity, legality, and enforceability of the remaining provisions shall not be affected.

14.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver of any provision of these Terms must be in writing and signed by an authorized representative of Infinea.

14.4 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. Any attempted assignment in violation of this provision shall be null and void. We may freely assign these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties and their respective successors and permitted assigns.

14.5 Notices

All notices required under these Terms shall be in writing and shall be deemed given:

14.6 Relationship of Parties

Nothing in these Terms creates or implies any partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and Infinea. You have no authority to make or accept any offers or representations on our behalf. You will not make any statement that reasonably would contradict this section.

14.7 Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms arising from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemic, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

14.8 Interpretation

The headings used in these Terms are for convenience only and shall not affect the interpretation of these Terms. The words "include," "includes," and "including" shall be deemed to be followed by "without limitation." These Terms shall be construed without regard to any presumption or rule requiring construction against the party causing these Terms to be drafted.

14.9 Electronic Communications

By using the Service, you consent to receiving electronic communications from us. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

14.10 Export Compliance

You may not use, export, or re-export the Service except as authorized by Hungarian law, EU regulations, and the laws of the jurisdiction in which the Service was obtained. You represent and warrant that you are not located in any embargoed country or prohibited by any applicable laws from receiving the Service.

15. Changes to Terms

15.1 Right to Modify

We reserve the right to modify, update, or replace these Terms at any time at our sole discretion. Changes may be necessary due to:

  • Legal or regulatory requirements
  • Changes in our Service features or functionality
  • Business or operational reasons
  • Security or privacy enhancements
  • Industry best practices

15.2 Notice of Material Changes

For material changes to these Terms:

  • We will provide at least 30 days' advance notice via email to the address associated with your Account
  • We will post a prominent notice on our Service dashboard
  • We will update the "Effective Date" at the beginning of these Terms

For non-material changes:

  • The updated Terms will be posted on our website
  • The "Effective Date" will be updated to reflect the revision date

Non-material changes include clarifications, corrections, or administrative updates that do not significantly impact your use of the Service.

15.4 Your Acceptance of Changes

By continuing to access or use the Service after any changes to these Terms become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms:

  • You may cancel your subscription before the changes take effect
  • Your continued use constitutes acceptance of the modified Terms

15.6 Version History

Upon request to support@categorify.app, we can provide information about material changes made to previous versions of these Terms, subject to our record retention policies.
